Corporate Attorney
As an Attorney, you will:
-Consults with and advises corporate departments and field operations on a wide range of legal issues.
-Assists the General Counsel in preparing all SEC and/or regulatory filings required of a public company (10-Qs, Annual Reports, Proxy Statements etc.)
-Assists with federal and state compliance in regards to such matters as SOX, Insider Trading, and NASDAQ compliance. Keeps abreast of changes in these laws and regulations and ensures company policies and practices, forms and statements are updated and compliant.
-Provides legal counsel on issues related to executive compensation.
-Participates in mergers and acquisitions by assisting in legal due diligence and negotiating and drafting transactional documents.
-Monitors use of outside counsel.
-Prepares memos, policy statements, and communications to ensure compliance with federal, state and local laws.
-Communicates with clients, vendors, government agencies and their respective counsel to obtain/provide information and resolve problems.
-Delegates work and provides guidance/training to paralegals and administrative assistants.
